General Terms & Conditions

1. Liability of offers

All offers are subject to confirmation.

2. Delivery Terms

Delivery Terms will be met. In case of a delay which is not due to the responsibility of COMPRAPHARM GmbH (force majeur; import-, export difficulties; delay of the third supplier; afterwards demanded changes of the order) there will be a change of the delivery date due to the proceedings. COMPRAPHARM GmbH is entitled to resign partly or completely by choice without any compensation bondage.

The transgression of delivery terms do not allow the purchaser to a recession of the contract to reject the order or to a requirement of compensation.

3. Delivery quantity

We reserve the right to increase or decrease 10% of the order.

The purchaser is obliged in case of non-sale to take over the minimum limit of COMPRAPHARM GmbH, either as contract goods or as payment for rejected or damaged goods.

Material belonging to the purchaser will be delivered directly after the production of the remaining quantity if there have been no other declarations in advance.
The loss of material during the production procedure will be paid by the purchaser.

4. Terms of payment

Payment will be settled within 30 days after delivery without any discount in Swiss Francs. The company COMPRAPHARM GmbH is allowed to claim for advanced payment or commission.

In case the confirmed terms of payment cannot be observed the purchaser owes without warning due to the date of payment interest on account on the delay at the amount of 1 % beyond the common open bank account.

The lack of unessential parts of the order, the same as the guarantee claims adverse to the company COMPRAPHARM GmbH, does not entitle to a postponement of payment.

In case of delay of payment of previous orders the company COMPRAPHARM GmbH is not obliged to further deliveries.

5. Transport and packaging

The prices will be regarded ex factory Schaffhausen. The goods will be sent by risk and invoice of the purchaser.

The purchaser takes over the package also in case of invoicing.

6. Terms of claim

The receiver of goods is obliged to control the delivery immediately to report claims within the next 15 days.
After this period or by use or resale the delivery is accepted.

In case of claims due to the supplier, the company COMPRAPHARM GmbH is only liable for the loss of quality within 1 year after filling by appropriate storage and use of the product.

The shortfall below 2 % of the quantity does not oblige the company COMPRAPHARM GmbH to compensation. Exceeds the shortfall 2 % of the quantity of the order and the failure itself is due to the company COMPRAPHARM GmbH, the company COMPRAPHARM GmbH supplies refund or a credit advice adjusted to the invoice.

Other claims, particularly in case of damage (including side-effects like crash of the company, etc.) are excluded.

7. Warranty

The company COMPRAPHARM GmbH is obliged to care about production and filling.

The liability for claims is not related to damages after delivery by external damage, inappropriate or contraries use.

The warranty is achieved for one year. In case of direct or indirect damage including all further consequences are excluded in case of non-existing forced instruction.

For claims due to package or raw material or similarities by the pre-supplier, we only take liability in coherence to the agreements with those.

8. Conditional sale

The property in the goods remains by the company COMPRAPHARM GmbH until the payment is completely settled. The purchaser empowers the company COMPRAPHARM GmbH to register the condition sale.

9. Assurance

The purchaser will be in charge of all costs of the general liability assurance for the recall of products, the determination of damage of the company COMPRAPHARM GmbH and the recovery of those.

10. Part invalidity

The inefficacy of these terms and conditions or the contract itself is not in accordance to the effectiveness of the declaration. The parties are obliged to replace the effectless regulation with a regulation due to an economical purpose in business.

11. Acceptance after own offer

For all quotations and sales, including the future, the included conditions are valid. Other or opposed terms are only obliged in accordance to the offered terms due to recorded sale conditions. Purchasing conditions are suspended with the acceptance of confirmation by the purchaser.

Place of Legal Payment and Legal Venue will be Engen; the legal relationship is subject to German Law.
